1. Acceptance of Terms

By accessing or using PanelOps ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

PanelOps is a WhatsApp automation platform for SMM panel resellers. The Service allows tenants to automate customer support, order management, and marketing messages through WhatsApp via the Evolution API integration.

3. Account Registration

To use the Service you must register for an account. You agree to:

• Provide accurate and complete information during registration
• Keep your credentials confidential and not share them with third parties
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activity that occurs under your account

4. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or violate WhatsApp's Terms of Service
• Engage in fraudulent, deceptive, or illegal activities
• Harass, abuse, or harm other users or third parties
• Reverse engineer, copy, or resell the Service without authorization
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Violate any applicable local, national, or international law or regulation

5. Subscription and Billing

PanelOps is offered on a subscription basis. By subscribing you agree to:

• Pay all applicable fees as described on the pricing page
• Provide valid payment information and keep it up to date
• Understand that subscription fees are non-refundable except where required by law
• Accept that downgrading or cancelling takes effect at the end of the current billing period

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Free Trial

New accounts receive a 7-day free trial. At the end of the trial, the account will be suspended unless a paid subscription is activated. No credit card is required to start a trial.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, and logos — are owned by PanelOps and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

9. Third-Party Services

The Service integrates with third-party platforms including WhatsApp (Meta), Stripe, and SMM panel APIs. Your use of these platforms is subject to their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, PanelOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct we determine to be harmful to other users, third parties, or the Service. You may terminate your account at any time from the billing settings in your dashboard.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a notice in the dashboard. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
